SERVICE TERMS AND CONDITIONS

By using any Services of UNET you are agreeing to abide by the following terms and conditions. Please read them carefully before signing on.

UNET shall provide Services (the "Service") subject to the terms and conditions herein. Subscriber shall pay UNET's charges for use of the Services set forth on the accompanying screens which may be modified from time to time by UNET. Subscriber shall pay for all use of the Services ordered through Subscriber's ID code whether or not Subscriber authorizes such use.

All provisions of this Agreement apply to all accounts created by the Subscriber or UNET. The benefits of or rights conferred by this Agreement are non-transferable. Use of the account is expressly limited to the individual whose name appears on the account and their immediate family. The Subscriber is responsible for all equipment and software necessary to connect to the Service.

The Subscriber agrees to use the Service in a manner consistent with any and all applicable laws. If The Subscriber is less than 18 years of age, an agreement must be signed by a parent or legal guardian, who is responsible for all charges related to use of The Subscriber's account.

Use of the service for advertising or promotion of a commercial product or service without the express, written consent of UNET is prohibited. The Subscriber is responsible for all use of The Subscriber's account and confidentiality of The Subscriber's password. UNET will suspend access or change access to The Subscriber's account upon notification by The Subscriber that his/her password has been lost, stolen or otherwise compromised.

The Subscriber agrees to indemnify UNET against liability for any and all use of the Subscriber's account.

Billing and Charges

The Subscriber is responsible for all telephone, network, or other charges for connecting to the Service.

The Subscriber agrees to pay UNET all charges relating to the use of The Subscriber's account according to rates and prices published online at the time the service is used. Online rates and prices are incorporated into this agreement by reference. Access is subject to credit limits established by the issuer of The Subscriber's credit card and by UNET. A credit limit is applied to all accounts. UNET may suspend The Subscriber's access to the service if The Subscriber exceeds his/her credit limit unless prior arrangements have been made.

The Subscriber is responsible for charges at the time the service is used and UNET may apply the amount due to The Subscriber's credit card at any time. UNET reserves the right to change prices on 30 days' notice published online. UNET reserves the right to suspend access to service for The Subscriber's account upon an indication of credit problems including delinquent payments or rejection of any credit card charges.

Monthly subscription charges are billed automatically each month unless The Subscriber cancels his/her account.

Ownership and Copyright

UNET and its Media Partners are the exclusive proprietors of the materials included in the Services and of all the copyrights, trademarks, and proprietary interest therein, except insofar as any third party (whose materials are made available under license to UNET or its Media Partners) possesses a copyright, trademark, or proprietary interest in such materials. Subscriber shall not have or acquire any proprietary interest in the materials included in the Services. Subscriber will not by any means make or maintain a copy of any portion of the Services for any purposes whatsoever.

Limitation of Liability

THE FOREGOING WARRANTIES ARE IN LIEU OF ALL OTHER REPRESENTATIONS, WARRANTIES AND COVENANTS, AND SUBSCRIBER ACKNOWLEDGES THAT UNET HAS NOT MADE AND WILL NOT MAKE ANY OTHER REPRESENTATION, WARRANTY OR COVENANT, EXPRESSED OR IMPLIED, ON WHICH SUBSCRIBER HAS RELIED OR MAY RELY WITH RESPECT TO THE MERCHANTABILITY, FITNESS, QUALITY, OPERATION, PERFORMANCE, OR SUITABILITY FOR SUBSCRIBER'S PURPOSE OF THE SERVICES IN ANY RESPECT, THE SERVICE'S COMPLIANCE WITH ANY LAW, RULE, OR CONTRACT PERTAINING THERETO, OR ANY OTHER REPRESENTATION, WARRANTY OR COVENANT, EXPRESSED OR IMPLIED AND UNET SPECIFICALLY DISCLAIMS ANY SUCH REPRESENTATION, WARRANTY OR COVENANT. UNET SHALL NOT BE LIABLE TO SUBSCRIBER FOR ANY LIABILITY, LOSS, OR DAMAGE CAUSED OR ALLEGED TO BE CAUSED DIRECTLY OR INDIRECTLY BY THE SERVICES OR BY ANY RELATED INADEQUACY OR DEFICIENCY THEREIN, OR WITH RESPECT TO ANY OBLIGATIONS RELATED TO THIS AGREEMENT, WHETHER DIRECT, INDIRECT, CONSEQUENTIAL, OR PUNITIVE, OR FOR LOSS OF PROFITS, AND WHETHER OR NOT UNET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANY OTHER PROVISION OF THIS AGREEMENT, IN NO EVENT SHALL UNET's LIABILITY FOR ANY REASON UPON ANY CAUSE OF ACTION IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES EXCEED THE AMOUNT PAID BY SUBSCRIBER TO UNET FOR THE SERVICES.

The organizations other than UNET that compile and publish materials included in the Services are solely responsible for the contents of such material and Subscriber shall not make any claim against UNET arising out of the contents of such materials, including, but not limited to, defamation and invasion of privacy.

UNET shall not be liable or be deemed to be in default for any delays or failure in performance or interruption of the Services resulting directly or indirectly from any cause of circumstances beyond the control of UNET, including but not limited to, Acts of God, accidents, fires, electrical failures, telephone system failures, court orders, strikes, or governmental regulations.

Operation

UNET reserves the right to change without notice the Service, including but not limited to, access procedures, hours of operation, menu structures, commands, documentation, product names and services offered.

The Subscriber hereby agrees that any material submitted for publication on the Service through The Subscriber's account does not violate or infringe any copyright, trademark, patent, statutory, common law or proprietary rights of others, or contain anything obscene or libelous.

The Subscriber may not reproduce, redistribute, retransmit, publish or otherwise transfer, or commercially exploit, any information, software, or other content which they receive through the Service.

The Subscriber assumes all risk and liability of its use of the Internet, including The Subscriber's continuous compliance with the Service Agreement.

The Subscriber agrees not to publish on or over the Service any information, software or other content which violates or infringes upon the rights of any others or which would be abusive, profane, or offensive to an average person, or which, without the approval of UNET, contains any advertising, promotion or service any solicitation of goods and services for commercial purposes. The Subscriber may not, without the approval of UNET, send unsolicited advertising or promotional material.

The Subscriber agrees not to use the facilities and capabilities of the Service to conduct any business or activity or solicit the performance of any activity which is prohibited by law or to solicit The Subscribers to become Subscribers of other competitive information services. The Subscriber agrees to comply with all applicable laws, rules and regulations in connection with the Service or the Service Agreement.

UNET, at its sole business judgment, reserves the right in its sole discretion to suspend or terminate Service to any The Subscriber at any time.

UNET reserves the right to terminate access to service for any Principal or Associate Account which has been inactive for six (6) months.

Conclusion

These Terms and Conditions will become effective when Subscriber first signs on the the Service and shall remain in effect until Subscriber directs UNET to terminate Subscriber's accounts and pays UNET all outstanding amounts.

This Agreement contains the entire agreement between the parties and may not be varied, amended, or supplemented by Subscriber or by UNET except as provided herein or by a writing executed by both parties. If any part of this Agreement shall be held unenforceable, the rest of this Agreement will nevertheless remain in full force and effect. This Agreement may not be assigned, in whole or in part, by Subscriber without the express prior written approval of UNET. This Agreement shall be governed and construed under the laws of the State of New York without giving effect to the principles of conflict of laws and any action with respect hereto shall be brought exclusively in the State or Federal courts in New York County.
